These Terms & Conditions govern the relationship between EBRON ESSENTIALS LLC and clients engaging our services or using our website.
Scope of Services
EBRON ESSENTIALS LLC provides digital marketing strategy, paid advertising, social media management, search engine optimization, and content and creative development services. The specific scope, deliverables, and timelines for each engagement are documented in a separate written agreement or statement of work.
Client Responsibilities
Clients are responsible for providing accurate information, timely feedback, access to relevant accounts and assets, and any approvals required for execution. Delays in client cooperation may impact delivery timelines and outcomes.
Clients confirm that all materials provided to EBRON ESSENTIALS for use in services are owned by them or appropriately licensed.
Payment Terms
Fees, payment schedules, and applicable taxes are defined in the engagement agreement. Invoices are payable in accordance with the terms specified therein. Late payments may result in suspension of services until accounts are brought current.
Limitation of Liability
EBRON ESSENTIALS LLC delivers services with professional skill and structured methodology, but does not guarantee specific business or marketing outcomes, which depend on numerous factors outside our control.
To the fullest extent permitted by law, EBRON ESSENTIALS LLC's aggregate liability arising out of or related to an engagement shall not exceed the fees paid by the client for the services giving rise to the claim during the three months preceding the event. We are not liable for indirect, incidental, consequential, or punitive damages.
Intellectual Property Rights
Subject to full payment, clients receive ownership or appropriate license to deliverables produced specifically for them under an engagement, excluding pre-existing materials, third-party assets, and proprietary frameworks of EBRON ESSENTIALS LLC, which remain the property of their respective owners.
EBRON ESSENTIALS retains the right to reference engagements in a general, non-confidential manner for credentialing purposes unless otherwise agreed in writing.
Confidentiality
Each party shall maintain the confidentiality of non-public information received from the other party and use it solely for purposes of the engagement.
Termination
Either party may terminate an engagement in accordance with the notice provisions of the applicable agreement. Upon termination, the client remains responsible for fees earned and expenses incurred through the effective date of termination.
Governing Law
These Terms are governed by the laws of the United States and the Commonwealth of Pennsylvania, without regard to conflict of laws principles. Any dispute shall be subject to the exclusive jurisdiction of the competent courts located in Pennsylvania, USA.
